Definitions

General

We will carry out work only where an agreement is acknowledged by both parties as to the scope of work to be carried out. Agreement of the scope of work also implies agreement of these terms and conditions.

Agreement of the scope of work may be provided by email, mail, fax or by placing an order with ourselves.

An order is deemed to be a written contract between us and the clients.

Quotes

Quotes are provided on a case by case when asked for and are valid for 1 calendar month from the date they are submitted to the client. We may extended this term at our discretion.

Scope of Work

Each client will receive a scope of work document which outlines the work to be carried out on behalf of the client.

The client also acknowledge that any work carried out beyond the original, agreed upon scope of work may be quoted for and charged for separately, at our discretion.

Payment

We ask for the full balance on quotes below £500 up front to secure our developers time before commencing work.

On balances over £500, we will ask for a deposit of 50% of the balance to secure our developers time.

Once work is complete, the client has 30 days to pay any outstanding balance of work from the date of the work is completed. Any balance beyond this 30 day period will be charged interest at a rate of 5% per week on the outstanding amount.

Refunds & Cancellation

We offer a full 7 day money back guarantee on all orders. Once this period has elapsed, we will only offer a refund if, as a result of our service, your website has not improved in performance in a measurable way.

We reserve the right to levy a small £35 administration fee to cover the costs of administering to the refund and this is made at our discretion and will not apply in all cases.

The client can terminate the contract at any point by informing us by email that they wish to do so. Any further work left outstanding by ourselves will stop and any payments made up to that point will not be refunded (unless the termination was made before the 7th day and we had not completed the work at that point).

We may, at our discretion, choose to restore a backup of the website taken prior to our developers working on the website. This will revert any changes made by our developers to improve the performance of the website.

Server Access

Before we can commence work, we require access to your website by FTP and we may require database access credentials (if this is the case, we will inform you).

If you cannot, or will not, give us FTP access to your server and you have placed an order with ourselves, we reserve the right to 20% of the order total as an administration fee.

As with any work on a live websites, your website may experience a brief down time, particularly when we are transmitting files to your website. This is to be expected and our developers will aim to reduce the amount of downtime your website experiences – this will usually be in the order of seconds usually.

Before commencement of work, we will take a backup of your website as it currently stands – it will be a file only backup if we only have FTP access and we may take a backup of the database if we have database credentials as well.

This is purely a safeguard for you so that should something go wrong during our process, we can restore your website to how it was before we started working on it. We keep the backups for a period of 1 week after finishing work (or termination of the contract), after which, we destroy them.

Bugs

We only keep the FTP details of your server only as long as necessary to carry out the service plus 15 business days thereafter (to correct any bugs that may have occurred as a direct result of the execution of the service). Any bugs reported that are a direct result of our modifications will be corrected as a matter of course provided they were created as a direct result of our modifications.

We are not responsible for any bug reported that are not of direct result of our modifications. In most cases, we may be able to fix bugs that are indirectly caused, or are exposed by the execution of our service, they will incur additional charges from ourselves to correct such bugs (these will be quoted for and must be paid for before we can commence work on those bugs). We will only correct bugs free of charge if they are a direct result of our work.

Tools, Plugins & Functions

Any tool supplied by us in relation to our work is still our property and we hold the copyrights to the code and the use of said tools is granted for the client’s use only. Distribution or supply of the tools to third parties will be deemed an infringement of our copyright and will be taken as theft and prosecuted as such.

In addition, any third-party plugins or functionality installed on your behalf to increase the speed of your website remains the property of the respective owners.

Any tools, plugins or functions are supplied “as is” and without any particular warranty or that they are fit for any particular purpose.

Work Outside Our Services

If the client requests the following types of work:

  • Modifications NOT related to increasing the speed of a website
  • Adding additional functionality or pages to an existing website
  • Tweaking/improving existing features of a website or web service
  • Changing the visual design of a website in any way (apart from image optimisations)
  • Changing the structural (specifically source code) of a website in any way (apart from necessary changes to improve page rendering)

The above work is not covered by this set of terms & conditions and will be instead be covered by the Terms and Conditions of the parent company, Scorpion Concepts Ltd which can be found on our website found at http://scorpionconcepts.co.uk.

Complaints

In the unlikely event that you are not completely happy or satisfied with our service, then you can complain in writing by sending an email through to . This email address is monitored by Company Directors only.

To expedient your complaint, please include as many details as you can, including the URL of the website we have worked on.

You will receive a formal reply within 10 working days of receipt of your email with our resolution(s) to your complaint (if any) after a full investigation is carried out into your particular case.

Limitation of Liability

Website Speed Experts will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines and for any down time that may result whilst we work on your website(s).

Website Speed Experts will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner.

Website Speed Experts will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the clients appointed agents.

Miscellaneous

We cannot be held responsible for materials supplied by the client in relation to copyright infringements in relation to image manipulation – we are merely manipulating the images to compress them (with the aim of reducing their file size) and we are not responsible for their content in any way.

We will not be held liable or become involved in any dispute between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of the site owner.
